The following website maintenance contract and terms and conditions govern all use of the CMWPs website and all content, services and products available at or through the website (taken together, the Website). The Website is owned and operated by CMWPs (“CMWPs″). The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, CMWPs’ Privacy Policy) and procedures that may be published from time to time on this Site by CMWPs (collectively, the “Agreement”).

Please read this website maintenance agreement carefully before accessing or using the Website. By accessing or using any part of the web site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this website maintenance agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by CMWPs, acceptance is expressly limited to these terms. The materials contained in this web site are protected by applicable copyright and trademark law.

In consideration of your use of the Service, you represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service’s registration form (the “Registration Data”) and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or CMWP has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, CMWP has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

If you provide any information that is untrue, inaccurate, not current or incomplete, or CMWP has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, CMWP has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).y of automated tools that will check the status of your website(s). They actually ping your website(s) every minute of every day.

These pings simply check to make sure your site isn’t giving a 400/500 error. If it is, our team knows within 60 seconds that something is wrong and starts troubleshooting the issue immediately to get it addressed as quickly as possible.

You will create a password and account designation upon completing the Service’s registration process. You are responsible for maintaining the confidentiality of the password and account and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify CMWP of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. CMWP cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 4.

General Terms

By selecting a product or service, you agree to pay CMWP the one-time and/or monthly or annual subscription fees indicated (additional payment terms may be included in other communications). Subscription payments will be charged on a pre-pay basis on the day you sign up for an Upgrade and will cover the use of that service for a monthly or annual subscription period as indicated. Payments are not refundable.

Automatic Renewal

Unless you notify CMWP before the end of the applicable subscription period that you want to cancel a subscription, your subscription will automatically renew and you authorize us to collect the then-applicable annual or monthly subscription fee for such subscription (as well as any taxes) using any credit card or other payment mechanism we have on record for you. Subscriptions can be canceled at any time by reaching out to our support team.

At cm-wp.com, we strive to always meet your expectations and solve your WordPress related problems. We are confident that we can assist you as we are WordPress experts with extensive experience in providing solutions for all types of issues. In some rare cases due to factors beyond our control we may not be able to deliver.

This is why we have devised a Money Back Policy. If we can’t fix your issue, the amount you paid is on us.

The details of the Money Back policy are as follows:
For One-Time Support: If we are unable to solve your problem, we will refund the fee to you.
For Custom Design: If we are unable to provide you with the custom design solution agreed upon, we will refund the fee to you.
For Programming: If we are unable to solve your programming issue, we will refund the fee to you.
For Subscribers: If we have been unable to solve your problem and you wish to cancel your subscription package, we will be happy to do so without making any further charge.

Support

All subscriptions include access to support via the members-only Q&A Forum. “Support” means the ability to make requests for technical support assistance via the forum at any time (with reasonable efforts by CMWP to respond within 3-5 business days) concerning the use of the CMWPs Services. All support will be provided in accordance with CMWPs standard services practices, procedures and policies.

Permission is granted to temporarily view the materials (information or software) on CMWPs’ web site for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  1. modify or copy the materials;
  2. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
  3. attempt to decompile or reverse engineer any software contained on CMWPs’ web site;
  4. remove any copyright or other proprietary notations from the materials; or
  5. transfer the materials to another person or “mirror” the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by CMWPs at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

The materials on CMWPs’ web site are provided “as is”. CMWPs makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, CMWPs does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.
In no event shall CMWPs or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on CMWPs’ Internet site, even if CMWPs or a CMWPs authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Your privacy is very important to us. Accordingly, we have developed this Policy in order for you to understand how we collect, use, communicate and disclose and make use of personal information. The following outlines our privacy policy.

GDPR policy

If you fill out one of our contact forms, any information that you put into the contact form is collected to allow us to contact you in response to your contact form entry.
If you fill out one of our checkout forms, any information that you put into the checkout form is collected to allow us to process your order and to contact you in response to your order.

If you fill out one of our mailing list signup forms, any information that you put into the mailing list signup form is collected to allow us to add you to our mailing list as you have requested by submitting this form.

Any information entered into our live chat system is being entered directly into software provided by Olark.com. At the end of your live chat conversation, this information is sent to us in Teamwork.com via email in order for us to contact you regarding your live chat conversation.

Any information entered into our checkout forms is saved in our website. Your first name and email address are then sent to Zapier.com in order to add that data to our New Customers list at ConvertKit.com so that we can send you the information that you need to know about your new care plan with us. Payment information is never stored in our website and is added directly to Stripe.com where they securely store your credit card information and name in order to process your payments. Stripe also shares your email address with Stunning.co in order to send you emails in the event of a failed payment or plan cancellation.

If you have or have had an active care plan with us, we process additional information on your behalf. In order to access your website for the purposes of website maintenance, your name, email address, website address, website login username, hosting login username and/or your business name may be stored in Teamwork.com which we use as our support desk and project management software. Passwords are not saved in cleartext format and are only saved in the LastPass software, which encrypts your passwords.

We use two factor authentication in systems where we store any sensitive data such as passwords. This helps us to protect your information from unauthorized access by requiring more than just a username and password to access that information.

The third party services that we use to store data are equipped to monitor unauthorized access and share with us any known system breaches. These third party services include ConvertKit.com, LastPass.com, Olark.com, ManageWP.com, Stripe.com, Stunning.co and Google.com.

Additionally, if, at any point, WP Buffs becomes aware of a data breach through one of the third parties listed above, or by our own measures, we will immediately contact all affected parties and also take immediate action in accordance with the rules and regulations of the authority having jurisdiction.

Affiliate agreement

This agreement describes the terms and conditions for participation in the CMWPs affiliate program. In this agreement, the term “Affiliate” refers to you (the applicant). In this agreement, CMWPs refers to the product owner and publisher, CMWPs).

The CMWPs affiliate program administered in part through a 3rd party affiliate management company called AffiliateWP (www.affiliatewp.com).

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Affiliate Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM, it will be considered as your acceptance of the change.

To enroll in the affiliate program, you must submit an affiliate application and be approved. Applications are processed daily (Monday to Friday) and applicants will be notified of their acceptance status as soon as possible after their information is reviewed.

Affiliates will receive 10% of the total referred paying customer amount, which is a recurring monthly payout as a commission from orders placed through properly coded Affiliate links (unless noted otherwise for a particular product). Commissions may change at the discretion of the product publisher, CMWPs commissions may increase during limited time special promotions, but they will return thereafter to the regular 10% monthly recurring commission rate.

When an affiliate refers a white-label partner, the affiliate will receive a 10% recurring payout of the total amount of the order placed through properly coded Affiliate links (unless noted otherwise for a particular product).

For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product ordered through the secure order system. Word of mouth referrals will not result in an affiliate commission being generated. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the affiliate.

CMWPs pays affiliates via a PayPal account, provided to us when a member joins. If the PayPal email changes, it is the responsibility of the affiliate to notify the Affiliate Program to ensure proper commission payments. We will not resend payments returned due to incorrect payment email addresses.

CMWPs will be solely responsible for processing every order placed by a customer via affiliate links. Affiliates are not authorized to collect payments or sell any CMWPs products from other websites as a “reseller” and no “resale” rights are granted in ANY way. Affiliates are not authorized to sell any of these products on ebay or other auction sites. Affiliates are not authorized to give away copies of any of these products. CMWPs will also be solely responsible for all customer service inquiries. All affiliates understand and acknowledge that no physical products will be shipped.

Customers who purchase products and services through the CMWPs Affiliate Program will be deemed to be customers of CMWPs. Accordingly, all rules, policies, and operating procedures concerning customer orders and service will apply to those customers. We may change our policies and operating procedures at any time. Prices and availability of our products and services may vary from time to time. CMWPs policies will always determine the price paid by the customer.

CMWPs reserves the right to refuse any site entry into the CMWPs Affiliate Program based on site content. Sites that do not qualify for the Affiliate Program include sites which:

  • Promote sexually explicit materials
  • Promote violence
  • Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
  • Promote illegal activities
  • List coupon codes or discounts that were NOT officially provided to them by CMWPs. Want to promote a coupon? Contact us and we can work with you. You may NOT promote coupon codes you may have found elsewhere online. Doing so can result in the termination of your affiliate account and withholding of affiliate payments for violating our affiliate agreement.
  • Infringe or otherwise violate any copyright, trademark, or other intellectual property rights of CMWPs or any other site.

The following are permitted uses of the CMWPs brand and marketing resources.

Affiliates are permitted to use the graphical banners and design resources located at https://cm-wp.com/affiliate-area/. If a specific size banner ad is not available, the affiliate may contact the Affiliate Program manager at affiliates@cm-wp.com and request a new banner graphic be added to the available resources.

CMWPs strictly prohibits affiliates from using spam e-mail and other forms of Internet abuse (including spamming forums, blogs, twitter, facebook and other social media outlets) to seek sales. Spam is defined as including, but not limited to, the following:

  • Electronic mail messages addressed to a recipient with whom the sender does not have an existing business or personal relationship or is not sent at the request of, or with the express consent of, the recipient through an opt in subscription;
  • Messages posted to Usenet, forums, Twitter, Facebook and message boards that are off-topic (unrelated to the topic of discussion), cross-posted to unrelated newsgroups, posted in excessive volume, or posted against forum/message board rules. Be conscious of forum rules! If a forum owner or moderator complains that an affiliate has spammed, the affiliate account may be permanently terminated after investigation.
  • Content posted on free blog websites for the sole purpose of keyword spamming, or comments posted to legitimate blogs that violate the comment policy of the blog owner.
  • Solicitations posted to chat rooms, or to groups or individuals via Internet Relay Chat or “Instant Messaging” system;
  • Certain off-line activities that, while not considered Spam, are similar in nature, including distributing flyers or leaflets on private property or where prohibited by applicable rules, regulations, or laws.

CMWPs, may undertake, at its sole discretion and with or without prior notice, the following enforcement actions:

  • Account Termination: Upon the receipt of a credible complaint, the CMWPs Affiliate Program manager may investigate the complaint, and if necessary, will then terminate the affiliate account of the individual implicated in the abuse. Termination results in the immediate closure of the member and affiliate account, the loss of all referrals, and the forfeiture of any unpaid money on account. At CMWPs discretion, termination may not only result in being banned from the affiliate program, but also being banned from ANY other internal affiliate programs.

Affiliates are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Affiliates have no authority to make or accept any offers or representations on our behalf. Affiliates will not make any statement, whether on their sites or otherwise, that reasonably would contradict this statement.
The term of this Agreement will begin when you accept and will end when terminated by either party. Either CMWPs or the affiliate may terminate this Agreement at any time, with or without cause. Upon the termination of this Agreement for any reason, all licenses granted hereunder shall immediately terminate and you will immediately cease use of, and remove from Affiliate’s Web Site, all links to the CMWPs websites, and all CMWPs trademarks and logos, other CMWP marks and all other materials provided in connection with this program.
CMWPs will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, expenditures or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to the affiliate under to this Agreement.
We make no express or implied warranties or representations with respect to the Affiliate Program or an affiliate’s potential to earn income from the Affiliate Program. In addition, we make no representation that the operation of the websites or the Affiliate links will be uninterrupted or error-free, and CMWPs will not be liable for the consequences of any interruptions or errors.

Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

If any of the provisions of this Agreement are determined by a court to be unenforceable, they shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.

By signing up with the CMWPs Affiliate Program, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
